Unless expressly stated otherwise in writing, Look is not the owner, landlord, operator, agency of record, media owner, advertising guarantor, or exclusive representative of any Advertising Space listed by a Space Owner. Look does not automatically become a party to the separate commercial relationship between an Advertiser and a Space Owner, except for the rights and obligations expressly set out in these Terms or in a separate written agreement with Look. Look may provide marketplace tools, support, payment facilitation, campaign coordination, administrative services, installation coordination, or other related services. The availability, scope, and price of those services may vary by Booking, location, User, or Campaign. Look does not guarantee any specific number of impressions, views, scans, leads, customers, sales, revenue, brand lift, foot traffic, or commercial result from any Advertising Space or Campaign, unless expressly agreed in writing by Look. 5 - User Accounts 5.1 - Account Creation When You create an Account, You must provide information that is accurate, complete, and current. Failure to do so may constitute a breach of these Terms and may result in suspension or termination of Your Account. Before or during the creation of Listings or the placement of Bookings, Space Owners and Advertisers may be asked to provide additional information, including bank account details, tax information, invoicing information, identity documents, campaign information, creative materials, permissions, authorizations, or documents proving their rights to offer or use an Advertising Space. 5.3 - Account Review Unless expressly stated as part of a feature of the Service or a separate written agreement, Look does not perform comprehensive background checks on Users and does not endorse any User, Listing, Advertising Space, Campaign, or Content. If You wish to terminate Your Account, You may discontinue using the Service, delete Your Account where that feature is available, or contact Us for assistance. 6 - Listings, Advertising Spaces, and Campaigns 6.1 - Listings by Space Owners Space Owners are responsible for the accuracy, completeness, legality, availability, pricing, permissions, and suitability of their Listings and Advertising Spaces. A Space Owner must only list Advertising Spaces that it owns, controls, manages, represents, or is legally authorized to offer. Space Owners must clearly disclose relevant conditions, restrictions, technical requirements, dimensions, installation requirements, display dates, visibility limitations, venue rules, content rules, approval procedures, availability, pricing, taxes, and any other material information that may affect an Advertiser's decision to book the Advertising Space. Look may review, edit, reject, remove, suspend, or request changes to Listings at any time if We believe they are inaccurate, incomplete, unlawful, misleading, unavailable, infringing, unsafe, inappropriate, or inconsistent with the Service. 6.2 - Bookings by Advertisers Advertisers are responsible for reviewing all Listing details, Campaign requirements, prices, dates, cancellation terms, technical specifications, creative requirements, restrictions, and other relevant information before making a Booking. By placing a Booking, You warrant that You are legally capable of entering into binding contracts, that You have authority to act for the Advertiser, and that all information and materials You submit are accurate, lawful, and complete. A Booking is only confirmed when accepted through the Service or otherwise confirmed in writing by Look or the relevant Space Owner, depending on the applicable Booking flow. Look may refuse, cancel, or require modification of any Booking where necessary to protect the Service, comply with law, prevent fraud, correct errors, respect Space Owner requirements, or enforce these Terms. 6.3 - Availability, Errors, and Inaccuracies Listings and Advertising Spaces may be updated, changed, withdrawn, mispriced, described inaccurately, temporarily unavailable, or affected by circumstances outside the control of Look or the Space Owner. Look and Space Owners do not guarantee that all Listing information is always accurate, complete, current, or available. We reserve the right to correct errors, inaccuracies, or omissions, and to update or change information at any time without prior notice, including after a Booking request has been submitted, where permitted by applicable law. 6.4 - Approval of Campaigns and Creatives All Campaigns, advertisements, creatives, installations, activations, and materials may be subject to review and approval by Look, the Space Owner, venue operators, landlords, municipalities, authorities, regulators, or other relevant parties. Approval may be refused, delayed, conditioned, suspended, or withdrawn where required by law, venue rules, technical constraints, brand safety concerns, public order, third-party rights, or these Terms. Approval of Content by Look or a Space Owner does not mean that Look confirms the legality, accuracy, compliance, or suitability of the Content. The Advertiser remains solely responsible for its Campaign and Content. Look Platform SL - Terms of Service
7 - User Content and Advertising Materials 7.1 - Your Right to Submit Content The Service may allow You to post, upload, submit, display, or share Content, including Listings, business profiles, images, logos, campaign materials, and advertising creatives. Where Content is submitted for a Campaign, You also grant Look, the relevant Space Owner, and their service providers the right to reproduce, display, print, install, publish, transmit, distribute, adapt, and otherwise use that Content as reasonably necessary to deliver, manage, monitor, document, and promote the Campaign, including through physical displays, digital screens, printed materials, installation proofs, campaign reports, and marketplace previews. You are responsible for maintaining complete and accurate copies of all Content, campaign files, creative files, approvals, and related materials outside the Service. 7.4 - Intellectual Property of Others and Copyright Infringement We respect the intellectual property rights of others. If You believe that Content available through the Service infringes Your copyright, trademark, image rights, or other intellectual property rights, please contact Us at info@lookthesoftware.com with sufficient information to identify the allegedly infringing Content and the rights claimed. Your notice should include, where applicable: identification of the protected work or right; the location of the allegedly infringing Content on the Service; Your name and contact details; a statement explaining why You believe the use is unauthorized; and a statement that the information provided is accurate and that You are the rights holder or authorized to act on behalf of the rights holder. Upon receipt of a notice, Look may take any action it considers appropriate, including requesting further information, notifying the User who submitted the Content, removing or disabling access to Content, suspending Accounts, or taking other measures required by law or these Terms. 8 - Payments, Fees, Taxes, and Invoicing 8.1 - Payments Bookings and related services may require payment through the Service or through a third-party payment processor. Payment methods, currencies, timing, authorization, settlement, payout, chargebacks, refunds, and payment limits may depend on the payment providers and countries involved. By submitting payment information, You represent and warrant that You are authorized to use the selected payment method and that the information You provide is true, correct, and complete. You authorize Look and its payment processors to charge the applicable amounts, including prices, Service Fees, taxes, processing fees, and other charges displayed or agreed in connection with the Booking. Look does not store full payment card details unless expressly stated. Payment information may be processed by third-party payment processors subject to their own terms and privacy policies. 8.2 - Service Fees and Commission Look may charge Service Fees, commissions, management fees, processing fees, or other charges for use of the Service or in connection with Bookings. Where applicable, the amount, calculation method, or percentage of Service Fees will be displayed during the Booking flow, stated in a Listing, communicated in writing, or agreed in a separate agreement. Unless otherwise agreed in writing, Look may apply a platform commission of 5% to transactions or Bookings facilitated through the Service. Look reserves the right to change its fees, fee structure, and commission model at any time, subject to applicable law and any existing written agreement. 8.3 - Taxes Users are responsible for any taxes, duties, levies, VAT, GST/HST, sales taxes, withholding taxes, reporting obligations, and similar charges applicable to their use of the Service, Listings, Bookings, Campaigns, payments, or payouts. However, Users remain responsible for determining their own tax obligations and obtaining appropriate professional advice where needed. Look Platform SL - Terms of Service
8.4 - Invoices and Payment Records Invoices, receipts, order confirmations, payout records, or other payment documentation may be provided through the Service, by email, by the relevant Space Owner, by Look, or by a third-party payment processor, depending on the Booking structure and applicable legal requirements. Users must provide accurate billing, tax, and invoicing information. Look is not responsible for delays, rejected payments, incorrect invoices, or failed payouts caused by inaccurate or incomplete information provided by Users. 9 - Booking Changes, Cancellations, Refunds, and Disputes 9.1 - Booking Modification Advertisers and Space Owners are responsible for any Booking modifications they agree to make through the Service or in writing. Modifications may be subject to availability, additional charges, approval requirements, technical limitations, production timelines, installation timelines, and applicable taxes. 9.2 - Cancellation by Look Look may refuse, suspend, or cancel a Booking if We reasonably believe that the Booking, Content, User, payment, Listing, or Campaign is unlawful, unauthorized, fraudulent, unsafe, misleading, technically impossible, unavailable, infringing, inconsistent with venue rules, inconsistent with these Terms, or likely to create risk for Look, Users, the public, or third parties. 9.3 - Cancellation by Advertisers Cancellation rights and refunds for Advertisers depend on the Listing terms, Booking terms, cancellation policy, campaign stage, production costs, installation costs, payment processor rules, and any separate written agreement. Unless expressly stated otherwise, fees already incurred for production, administration, payment processing, installation, design, printing, delivery, or reserved Advertising Space may be non-refundable. If circumstances outside Your reasonable control require You to cancel a Booking, contact Us as soon as possible. Look may, at its discretion and subject to applicable law and Space Owner requirements, help coordinate a rescheduling, credit, partial refund, or other resolution. 9.4 - Cancellation by Space Owners If a Space Owner cancels a confirmed Booking, removes an Advertising Space, fails to provide the Advertising Space, or materially changes the Advertising Space after confirmation, Look may require the Space Owner to cooperate in providing an alternative Advertising Space, rescheduling the Campaign, issuing a refund, covering reasonable costs, or taking other corrective action. Look may also restrict or suspend the Space Owner's Account or Listings. 9.5 - Booking Disputes If an Advertiser or Space Owner disputes a Booking, payment, payout, refund, cancellation, campaign delivery, or other issue, they must notify Look as soon as possible and provide relevant documentation. Look may attempt to assist with the dispute, but unless required by law or expressly agreed in writing, Look is not required to resolve all disputes between Users and does not guarantee a particular outcome. Where Look makes a discretionary decision regarding a marketplace dispute, Users agree to cooperate in good faith and provide reasonable evidence, including messages, photos, proofs of installation, campaign reports, payment confirmations, approvals, and other relevant records. Look Platform SL - Terms of Service
10 - Installation, Production, and Campaign Delivery Some Campaigns may require design adaptation, printing, mounting, installation, removal, digital scheduling, proofing, photography, maintenance, or other services. Responsibility for these services will depend on the Listing, Booking, separate written agreement, or instructions provided by Look or the Space Owner. Advertisers are responsible for providing creative materials in the required format, size, resolution, language, file type, deadline, and specifications. Delays or errors caused by late, incomplete, incorrect, non-compliant, or low-quality materials may affect Campaign delivery and may not entitle the Advertiser to a refund. Space Owners are responsible for providing access, permissions, operational cooperation, technical information, venue rules, installation requirements, and any other information required to deliver the Campaign where those responsibilities apply to the Space Owner. Look is not liable for delays, interruptions, reduced visibility, weather impacts, vandalism, technical failures, venue closures, construction, maintenance, public authority action, third-party actions, force majeure events, or other circumstances outside Look's reasonable control, except to the extent required by applicable law or expressly agreed in writing. 11 - User Conduct You agree not to misuse the Service. The failure of Look to exercise a right or require performance of an obligation under these Terms does not waive Look's ability to exercise that right or require that performance at any later time. A waiver of one breach does not constitute a waiver of any subsequent breach. 20 - Assignment You may not assign or transfer Your rights or obligations under these Terms without Our prior written consent. Look may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, financing, change of control, or transfer of the Service, provided that such assignment complies with applicable law. 21 - Changes to these Terms We may modify or replace these Terms at Our discretion.
